The Platform is a service designed to streamline project management, team collaboration, and client interactions. By using the Platform, you ("user" or "you") agree to comply with these Terms.

The Platform is owned and operated by Deskwing LLC ("Deskwing" or "we").

These Terms contain important information about your legal rights and obligations. If you do not agree with these Terms, please delete your Account and discontinue use of the Platform.

Our Privacy Policy explains how we collect, use, and share your personal information when you use the Platform. Our Cookie Policy outlines how we use cookies on the Platform.

1. Entire Agreement

These Terms, along with our Privacy Policy, Cookie Policy, and any additional guidelines or rules posted on the Platform, form the entire legally binding agreement between you and Deskwing governing your use of the Platform ("Agreement").

By accessing or using the Platform, you confirm that:

• You have read, understood, and agreed to comply with these Terms in full.

• You are of legal age to form a binding contract, or you have the consent of a parent or guardian if required.

• If you are using the Platform on behalf of a legal entity, you are authorized to enter into this Agreement on behalf of that entity.

• You are eligible to enter into this Agreement, and there are no restrictions on your ability to use the Platform.

• You will comply with all applicable laws and regulations while using the Platform.

2. Deskwing Services

The Platform provides a range of project management tools, team collaboration features, and client interaction capabilities designed to enhance productivity and streamline workflows ("Services"). These Services are available to both individual users and teams.

3. Account Creation and Management

To access the Platform’s full functionality, you must create a personal account ("Account"). You can create an Account using:

• Google Account: Sign up with your Google account credentials.

• Email Address: Sign up by providing your first and last name, email address, and a secure password.

Account Responsibilities:
You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. If you suspect unauthorized access or your credentials are compromised, notify Deskwing immediately.

Account Deletion:
You may delete your Account through the Account settings. If your Account is deleted, you may restore it within one year by logging in and confirming the restoration.

4. User Conduct and Prohibited Activities

You agree to use the Platform responsibly and refrain from engaging in any prohibited activities, including but not limited to:

• Posting or sharing content that infringes upon intellectual property rights.

• Disclosing personal or confidential information without consent.

• Sharing content that promotes violence, illegal activities, or offensive behavior.

• Engaging in bullying, harassment, or distributing explicit material.

• Violating international sanctions or any applicable laws.

Impact Measures:
Deskwing reserves the right to take action, including issuing warnings or suspending your Account, if we detect any prohibited activities. If you object to any action taken, you may contact us for further review.

5. Subscription and Payment Terms

Deskwing offers subscription plans with various pricing options. Fees may be charged on a monthly or annual basis, depending on the selected plan.

Payment Terms:
When you subscribe to a paid plan, you agree to pay the applicable fees. Payments may be made through accepted payment methods on the Platform.

Subscription Cancellation:
You may cancel your subscription at any time through your Account settings. Your access to paid features will remain available until the end of the current billing period.

Refund Policy:
You can request a refund within 14 days of your initial payment. Refunds for services provided to clients are the sole responsibility of the user.

6. Intellectual Property

All content, software, and materials available on the Platform, including text, graphics, and other media, are owned by Deskwing or licensed for use on the Platform. You are granted a limited, non-exclusive license to use the Platform's content in accordance with these Terms.

User Content:
You retain ownership of the content you submit to the Platform but grant Deskwing a license to use, reproduce, modify, and display that content as necessary to provide the Services.

7. DMCA Takedown Policy

If you believe your intellectual property rights have been infringed upon, you may submit a DMCA notice to Deskwing with all necessary information. Deskwing may remove or disable infringing content and notify the user responsible. Users may submit a counter-notice if they believe their content was removed in error.

8. Third-Party Services

The Platform may include links to third-party websites or services. Deskwing is not responsible for the content or services provided by third parties and is not liable for any damages resulting from their use.

9. Warranties and Disclaimers

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind. We do not guarantee uninterrupted service or that the Platform will be free of errors or bugs.

10. Limitation of Liability

To the maximum extent permitted by law, Deskwing is not liable for any direct, indirect, incidental, special, or consequential damages resulting from your use or inability to use the Platform.

11. Indemnification

You agree to indemnify and hold Deskwing harmless from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Platform or breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the state of New Mexico. Any disputes arising from or related to these Terms will be resolved through negotiation, and if necessary, arbitration in New Mexico. All proceedings will be conducted in English, and class actions are not permitted.

13. Communications

By using the Platform, you consent to receive electronic communications from Deskwing, including updates, support notifications, and marketing messages. You may opt out of marketing communications as described in the communications.

14. Termination

Termination by Deskwing:
We may suspend or terminate your access to the Platform at any time for violations of these Terms or other reasons. We may also discontinue the Platform at our discretion.

Termination by User:
You can terminate these Terms by deleting your Account.

Termination Consequences:
Upon termination, you will lose access to the Platform, and all licenses and permissions granted under these Terms will cease.

If you encounter any technical issues while using the Platform, please contact our support team at support@deskwing.io.

16. Miscellaneous

We may transfer our rights and obligations under these Terms without notice. You may not transfer your rights or obligations without our prior written consent. We reserve the right to modify these Terms at any time and will notify you of significant changes.

If any part of these Terms is deemed unenforceable, the remaining provisions will remain valid. A printed version of these Terms will be admissible in legal proceedings.
